Nuveen Infrastructure's Clean Energy Infrastructure team (formerly Glennmont Partners from Nuveen) is part of the global investment management firm, Nuveen - with over US$1.2 trillion of assets under management as of early 2024. The team focuses on raising and investing clean energy private equity funds, and has been operating for over 15 years with c.€5bn raised to date across its various strategies. Favoured technologies include onshore and offshore wind, solar photovoltaics, battery storage, and bioenergy power generation assets.

The Clean Energy Infrastructure team's core focus is on clean energy equity investments, credit investments, and asset & portfolio management. The team comprises c.70 professionals split across the above functions, and located across its key offices in London, Madrid, Milan, Singapore, Seoul, Tokyo, and Charlotte (USA). The team is currently looking to expand of the back of a successful fundraising programme which concluded in Q2 2024. Specifically the team is looking to recruit a senior associate in the core-plus clean energy equity investments team.

The M&A Senior Associate will provide transaction support of a broad range to manager and director level team members. The job will primarily be focussed on transaction execution, but will also offer the opportunity to take a broader role in the origination, negotiation, and closing of deals and in post-transaction asset management support.

The M&A Senior Associate reports to Directors / Managing Directors.

Key Tasks & Responsibilities

The successful candidate will be responsible for supporting the origination, analysis, and execution of clean energy investments across Europe.

Modelling and investment proposals

  1. Understand and optimise the project contractual structures
  2. Analyse, define, document, and monitor all key project assumptions
  3. Understand and analyse project SPV financial statements
  4. Produce, develop, and review of cash flow based financial models for renewable energy generation projects / assets / platforms valuation
  5. Analyse and interpret results from the financial model, run sensitivities to help with the assessment of the investment case
  6. Support in drafting investment proposals and investment committee presentations with support and input from Managers and Directors
  7. Support in training Analysts and Associates on developing financial modelling and valuation skills

Transaction support

  1. Support deal leads on origination activities with renewable project developers in EU 27 economies and the UK
  2. Assist and support in the execution of deals (acquisitions, project financing, divestments)
  3. Support in the delivery of due-diligence workstreams and project manage transactions and coordinate work products from external advisors (developers/EPC contractors, lawyers, technical advisors, financing providers, etc.)
  4. Demonstrate aptitude to identify a pipeline of potential transactions sourced from a growing network of contacts and industry sources, with support from the team

Market monitoring

  1. Support in monitoring the activities of renewable energy and clean tech organisations
  2. Conduct research on selected sectors, countries or market segments to identify potential investment opportunities
  3. Follow regulatory development in the renewable energy sectors (regulatory framework, tariffs, EU targets, etc.)

Fund Level Support

From time to time the role will entail offering support to other teams with Fund level activities. Such activities may include:

  1. Production of marketing materials for fund raising campaigns
  2. Compilation of VDD materials for prospective LPs
  3. Miscellaneous additional activities associated with business development

Other

  1. Support with raising financing activities
  2. Support with model audit
  3. Provide assistance in transaction administration, ensuring compliance of internal procedures

Knowledge & Skills Required

Candidates must be competent to build and operate detailed financial models; demonstrate aptitude in manage legal, technical, regulatory and commercial due diligence workstreams with appropriate understanding; have a growing understanding of the political and environmental relevance of the energy and power sectors. Prior transaction experience, from working in investment banking, mergers and acquisitions, or private equity experience is required.

  1. Min. 4 years relevant working experience
  2. Equity investment experience essential - with demonstrable track record which may come from experience at an investment management firm, investment bank or M&A advisory house, an energy company / utility / IPP, or consultancy
  3. Corporate finance or project finance transaction experience
  4. Significant financial modelling expertise required
  5. Relevant experience and knowledge of power/energy industry required
  6. Fluent English required with additional European languages preferred
  7. Excellent communication and written skills
  8. Candidates must have the right to work in the UK

Additional Information

  1. Energy / power industry background is an advantage
  2. Interest in the renewable energy sub-space is a prerequisite
  3. Experience in investment appraisal, tax structuring
  4. Strong financial toolkit (building models, analysing financial statements, performing valuations, structuring deals)
  5. The role requires exposure to EU 27 countries. Therefore, fluency in local languages (apart from English) is preferable in order to analyse data and interact with acquired/prospective companies, regulators and investors.
  6. A strategic approach, sound business judgment and a strong entrepreneurial mind-set is required
